MiCA 2025. New EU Regulations & Why a Polish VASP is a Smart Move
Understanding the Impact of MiCA Regulations
If you work in the crypto space, you’ve likely heard about the new MiCA regulations that will be implemented in the EU starting in early 2025. These new rules bring significant changes from the current regulations, including higher capital requirements, increased licensing fees, and mandatory local offices and staff.
What Are MiCA Regulations and How Do They Affect Crypto Businesses?
Rather than focusing solely on the regulations, it’s essential to recognize the opportunities that still exist for new entrants in the EU crypto market. Currently, businesses can still explore crypto ideas under the existing rules. Companies that secure a Polish crypto license by December 30, 2024, can operate under the current regulations until at least July 2025 (with the possibility of extension).
Why Obtain a Polish VASP License Before MiCA Takes Effect?
Under the current Polish regulations, a crypto service provider only needs a minimum share capital of PLN 5,000, with no requirement to have it fully paid up. In contrast, the new MiCA rules set much higher capital thresholds depending on the type of service offered:
- €50,000 for order execution and portfolio management services.
- €125,000 for custody and exchange services.
- €150,000 for trading platforms.
Polish VASP vs. MiCA
Licensing Fees Comparison
When it comes to licensing fees, Polish VASP requires just a one-time registration fee of PLN 616 (approximately €140), with no renewal fees. In contrast, MiCA introduces a licensing fee of €4,500, plus an annual supervisory fee that begins at €500 and scales with the company’s revenue.
Local Office and Staffing Requirements
Regarding local director requirements, Polish VASP does not mandate that directors be based locally; they can reside anywhere. However, MiCA requires at least one director to be located in the EU. For local office requirements, a simple registered address is sufficient for Polish VASP, while MiCA necessitates a physical office in Poland to apply for a license.
Compliance and Documentation
In terms of policies and procedures, the Polish regulations require basic KYC/AML compliance, while MiCA demands comprehensive regulatory documentation, including internal control mechanisms, business continuity plans, risk management strategies, and client asset segregation protocols.
